Resignation of Director and

Notice of Amendment to Resolutions at AGM

IDE Group Holdings plc (the "Company"), the mid-market network, cloud and IT managed services provider, announces the resignation of David Templeman, Chief Financial Officer, from the board of directors (the "Board") with immediate effect.

The Board intends to recruit another chief financial officer in due course.

As the Company's Notice of AGM on 23 August 2021 has already been issued, the Company confirms that the resolution to elect David Templeman as an Executive Director of the Company (resolution number 4) is now withdrawn. The withdrawal of resolution number 4 does not otherwise affect the validity of the Notice of Meeting, the proxy form or any proxy votes already submitted on other proposed resolutions. The numbering of all other proposed resolutions at the AGM will remain unchanged.
