TI Fluid Systems plc (the "Company")

Additional Listing of Shares

An application has been made for the listing of 489,277 ordinary shares of 1 penny each in the capital of the Company ("New Ordinary Shares") to the Official List of the UK Listing Authority and to trading on the London Stock Exchange. When issued, the New Ordinary Shares will be fully paid and will rank pari passu in all respects with the existing issued ordinary shares of the Company. It is expected that admission of the New Ordinary Shares will occur at 8.00 am on 3 December 2018.

The New Ordinary Shares will be issued to satisfy the vesting of certain restricted share units granted by the Company at the time of its initial public offering in 2017.

Total Voting Rights

Following admission, the issued capital of the Company will comprise 519,901,503 ordinary shares. There are no ordinary shares held in treasury and accordingly, the total number of voting rights is 519,901,503. This figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
