Addendum to Notice of Annual General Meeting
Dear Members,
We invite your kind attention to the Notice dated 04-06-2021 for the 21st Annual General Meeting of the Company to be held on 2606-2021. We give below some additional points to the Notes to item No. 4 of the Notice for information of the Members, pursuant to Reg. 36(5) of SEBI (LODR) Regulations, 2015, as amended.
Item No. 4: Appointment of Auditors
M/s. MSKA Associates, whom the Company has proposed to appoint as Statutory Auditors of the Company for a tenure of five years from the conclusion of the 21st Annual General Meeting, is a reputed audit firm, originally established in 1978. They offer a wide range of services, and are a member firm of BDO Global, who are considered as the fifth largest firm of auditors internationally. MSKA Associates has 61 partners and 1000+ staff in India, functioning from more than 10 key cities in India.
Thyrocare Technologies Limited has always been maintaining its track record of transparency and high corporate governance. The audit committee and the board of directors, while considering the rotation of statutory auditors, evaluated many leading audit firms in India and selected MSKA & Associates as statutory auditors, considering their track record of vast experience supplemented by the global experience of BDO Global.
The proposed fee payable to the M/s. MSKA Associates, as statutory auditors, for conducting statutory audit, limited review, tax audit and reimbursement of out of pocket expenses, would be about Rs. 28.50 lakhs to Rs. 30 lakhs compared to Rs. 43.00 lakhs paid to the current auditors in the financial year 2020-21.
Please take the above points as an integral part of the Notice dated 04-06-2021. All other contents of the Notice remain unchanged.
