Re: Arrangement Agreement dated as of November 25, 2025 between Blue Ant Media Corporation and Thunderbird Entertainment Group Inc. (the "Arrangement Agreement")

Defined terms used but not defined in this certificate shall have the meaning ascribed thereto in the Arrangement Agreement.

Each of the undersigned hereby confirms that the undersigned is satisfied that the conditions precedent to its respective obligations to complete the Arrangement Agreement have been satisfied and that the Arrangement is effective as of 12:01 a.m. (Vancouver time) on January 28, 2026.
