Okohongo Copper Project, Namibia NI 43-101 Technical Report – October 2021

Certificate of Qualified Person

I, Nico Scholtz, SACNASP, do hereby certify that:

  1. I am an independent consultant with an address at P.O. Box 1316, Swakopmund, Namibia.

  2. I am an M.Sc. graduate of Dept. Geology, University of the Free State, South Africa.

  3. I am a Professional Geological Consultant and a member of the South African Council for Natural and Scientific Professions (SACNASP), and have been a professional practicing geologist since 2004.

  4. I been actively involved in exploring for a similar style of mineralization that is the subject of the Report, for the past 15 years, incorporating greenfields and brownfields gold exploration in Africa, South America, North America and Asia. Work involved exploration program construction and management, planning and implementation of mineral exploration programs in the field, and report writing.

  5. I have read the definition of “Qualified Person” set out in National Instrument 43-101 Standards of Disclosure for Mineral Projects (“NI 43-101”) and certify that by reason of my education, affiliation with a professional association (as defined in NI 43-101) and past relevant work experience, I fulfill the requirements to be a “Qualified Person” for the purposes of NI 43-101.

  6. I am responsible for the preparation of all sections of the Report except for Section 14, in the report titled, “NI 43-101 Technical Report and Mineral Resource Estimate on the Okohongo Copper-Silver Project, Namibia” (the “Technical Report”) dated 1 October 2021, with a Report Effective Date of 15 September 2021, and a Mineral Resource Effective Date of 11 August 2021.

  7. I visited the Okohongo Cu-Ag Project on various occasions in 2020 and 2021 as part of the field visit requirements for the Technical Report. The most recent visit was from 3 to 19 June 2021.

  8. I am independent of the Issuer applying all of the tests in Section 1.5 of NI 43-101 Form 43-101F1 and Companion Policy 43-101CP.

  9. I am an independent geological consultant who has been providing the Issuer with geological consulting services to the Project.

  10. I have read NI 43-101, Form 43-101F1 and confirm the Technical Report has been prepared in compliance with that instrument and form.

  11. As of the Effective Date of the Technical Report, to the best of my knowledge, information and belief, the Sections of the Technical Report for which I am responsible contain all scientific and technical information that is required to be disclosed to make the Technical Report not misleading.

Certificate of Qualified Person Sivanesan Subramani (BSc (Hons), SACNASP)

I, Sivanesan Subramani, do hereby certify that:

  1. I am a principal mineral resource geologist at Caracle Creek International Consulting MinRes (Pty) Ltd, 90 Beryl Avenue, Bramley North, Sandton, 2090, Gauteng, South Africa.

  2. I am a graduate of the University of KwaZulu Natal, with a BSc Honours in Geology and Economic Geology.

  3. I am a registered professional member of the South African Council for Natural Scientific Professions (Reg. No. 400184/06; SACNASP ). I am a member of the Geological Society of South Africa, and a member of the Geostatistical Association of Southern Africa.

  4. I have practised my profession continuously since 1995. I have over 25 years’ experience in the exploration and mining industry. I have been involved in mineral resource estimation and compilation of technical reports since 2005.

  5. I have read the definition of “Qualified Person” set out in National Instrument 43-101 Standards of Disclosure for Mineral Projects (“NI 43-101”) and certify that by reason of my education, affiliation with a professional association (as defined in NI 43-101) and past relevant work experience, I fulfill the requirements to be a “Qualified Person” for the purposes of NI 43-101.

  6. I am responsible for the preparation of sections 1, 14, 25 and 26 of the Report titled, “NI 43-101 Technical Report and Mineral Resource Estimate on the Okohongo Copper-Silver Project, Namibia” (the “Technical Report”), dated 1 October 2021, with a Report Effective Date of 15 September 2021, and a Mineral Resource Effective Date of 11 August 2021.

  7. I have not visited the Okohongo Cu-Ag Project.

  8. I am independent of the Issuer applying all of the tests in Section 1.5 of NI 43-101 Form 43-101F1 and Companion Policy 43-101CP.

  9. In 2011, I (Caracle Creek International Consulting (Proprietary) Limited) prepared a mineral resource estimate on the Okohongo Cu-Ag Deposit titled, “Technical Report on the Okohongo Copper-Silver Property in Northwest Namibia”, for INV Metals Inc., with a report and effective date of March 31, 2011.

  10. I have read NI 43-101, Form 43-101F1 and confirm the Technical Report has been prepared in compliance with that instrument and form.

  11. As of the Effective Date of the Technical Report, to the best of my knowledge, information and belief, the Sections of the Technical Report for which I am responsible contain all scientific and technical information that is required to be disclosed to make the Technical Report not misleading.
