The notification is submitted by Nordic Capital VI Limited and Nordic Capital VII Limited. Nordic Capital VI is a subsidiary of NC VI Limited and the parent company of Nordic Cecilia Three Limited, which is the parent company of Cidron Outdoor VI S.à r.l., which is the parent company of Nordic Cecilia Three S.à.r.l, which in turn is the parent company of NC Outdoor VI AB. Nordic Capital VII is a subsidiary of NC VII Limited and the parent company of Nordic Cecilia Four Limited, which is the parent company of Cidron Outdoor VI S.à r.l., which is the parent company of Nordic Cecilia Four S.à.r.l, which is the parent company of Nordic Cecilia Four AB, which in turn is the parent company of NC Outdoor VII AB. On 22 February 2016, NC Outdoor VI AB has entered into agreements on the sale of 17,703,806 shares (NC Outdoor VI AB's entire holding) in Thule Group and NC Outdoor VII AB has entered into agreements on the sale of 969,591 shares (totalling 18,673,397 shares) in Thule Group (jointly the "Selldown"). As a result of the Sell-down, the shareholders' agreement between NC Outdoor VI AB and NC Outdoor VII has been automatically terminated with immediate effect. Following the Sell-down NC Outdoor VI AB does not hold any shares or votes in Thule Group; and NC Outdoor VII AB holds 10,608,828 shares and votes in Thule Group, representing approximately 10.50% per cent of the total number of shares and votes in Thule Group. As a result of the Sell-down and the termination of the shareholders' agreement, the holdings of NC Outdoor VI AB (including the holdings of its parent companies) has fallen below the 25, 20, 15, 10 and 5 per cent thresholds; and the holdings of NC Outdoor VII AB (including the holdings of its parent companies) has fallen below the 25, 20 and 15 per cent thresholds.
