The notification is submitted by Nordic Capital VI Limited and Nordic Capital VII Limited. Nordic Capital VI is a subsidiary of NC VI Limited and the parent company of Nordic Cecilia Three Limited which is the parent company of Nordic Cecilia Three S.à.r.l, which in turn is the parent company of NC Outdoor VI AB. Nordic Capital VII is a subsidiary of NC VII Limited and the parent company of Nordic Cecilia Four Limited which is the parent company of Nordic Cecilia Four S.à.r.l, the parent company of Nordic Cecilia Four AB which in turn is the parent company of NC Outdoor VII AB. NC Outdoor VI AB and NC Outdoor VII AB have entered into a shareholder's agreement in respect of their shareholdings in Thule Group. On 16 November 2015, NC Outdoor VI AB has entered into an agreement on the sale of 9 068 884 shares in Thule Group and NC Outdoor VII AB has entered into an agreement on the sale of 5 931 116 shares (totaling 15 000 000 shares) in Thule Group (jointly the "Sell-down"). As a result of the Sell-down (and the shareholders' Agreement), the aggregate indirect holdings of NC Outdoor VI AB's and NC Outdoor VII AB's parent companies correspond to 29 282 225 shares and votes in Thule Group, representing 29,3 per cent of the total number of shares and votes in Thule Group, and has fallen below the 30 per cent threshold.
