1TT TO LAUNCH SHARE PURCHASE PLAN

Highlights

• Share Purchase Plan will be launched, inviting eligible shareholders to acquire at least $1,000 and up to $30,000 of shares each, under a share purchase plan.

• Shares will be offered at $0.002 cents per share, a 13% discount on 5 day VWAP at close of 15 July.

• Offer expected to open Tuesday, 23 July 2024 and expected to close Tuesday, 6 August 2024.

Thrive Tribe Technologies Limited (ASX: 1TT , Thrive Tribe or Company ) is pleased to announce it intends to launch a non-underwritten share purchase plan to raise up to $282,000. This share purchase plan will give all persons:

• with a registered address in Australia or New Zealand;

• that are not a resident of the United States or acting for the benefit of persons in the United States; and

• who held shares in the Company at 7:00pm (AEDT) on Monday, 15 July 2024,

the opportunity to acquire:

• at least $1,000 worth of new shares; and

• up to $30,000 worth of new shares,

at $0.002 cents per share ( Share Purchase Plan Offer ).

The Share Purchase Plan Offer is expected to open on Tuesday , 23 July 2024 and close on Tuesday , 6 August 2024 .

Full details of the Share Purchase Plan Offer, including the share purchase plan booklet will be made available on the Company's website and announced to the market shortly. This booklet will set out the terms and conditions of the Share Purchase Plan Offer and how eligible shareholders can participate in the Share Purchase Plan Offer. The board strongly recommends all shareholders read the booklet carefully and seek independent financial and taxation advice before deciding to participate.
