INVESTMENT MANAGEMENT AGREEMENT – EXTENSION OF INITIAL TERM & REVIEW OF MANAGER PERFORMANCE

TEK confirms that the Investment Manager has exercised its right to extend the Investment Management Agreement.

TEK advises that the Investment Manager has exercised its contractual right to extend the Investment Management Agreement. Under the Agreement, the Initial Term ends on 16 December 2026 and may be extended for a further seven years with at least nine months’ written notice.

TEK advises that it has received the Manager’s written notice and the extension has been validly exercised.

Review of Manager Performance

The TEK Board and the Investment Manager are cognisant of the Company’s investment performance and the ongoing discount of the Company’s share price to its Net Tangible Assets (NTA).

The Board has established an independent board sub-committee, and the Manager has agreed to undertake an internal review and report back to the independent board subcommittee.

TEK will provide further updates to the market as appropriate.
