Off-market takeover bid by Australian Renewable Fuels Limited for Wentworth Holdings Limited - Extension of Offer Period

We refer to the off-market takeover bid by Australian Renewable Fuels Limited (ARfuels) for all of the fully paid ordinary shares in Wentworth Holdings Limited.

ARfuels gives notice that it varies the Offer by extending the Offer Period (as described in the Bidder's Statement) so as to change the close of the Offer Period from 7.00 pm on 1 February 2013 to 7.00 pm on 15 February 2013.

We attach a notice of variation extending the Offer Period, under section 650D of the Corporations Act, together with a copy of the letter to shareholders accompanying the notice of variation. We also attach a notice under section 630(2)(b) of the Corporations Act.

Off-market takeover bid by Australian Renewable Fuels Limited for Wentworth Holdings Limited - Notice of Variation extending the Offer Period

As you are aware, Australian Renewable Fuels Limited (ARfuels) has made an off-market takeover bid for all of the ordinary shares in Wentworth Holdings Limited (Offer).

ARfuels advises that it has today extended the Offer Period under the Offer. If you have not already accepted the Offer you now have until 7.00pm (Melbourne Time) on 15 February 2013 to accept the Offer (unless further extended or withdrawn). Accordingly, the new date for ARfuels to give notice of the status of conditions is 7 February 2013.

Enclosed with this letter is a notice of variation under section 650D of the Corporations Act 2001 (Cth) reflecting the extension of the Offer.

Notice of Variation extending the Offer Period

To: Australian Securities and Investments Commission (ASIC) ASX Limited Wentworth Holdings Limited (ABN 41 080 167 264) And to: Each person to whom an offer was made on 21 December 2012 (Offer) in the Bidder's Statement (Bidder's Statement) by Australian Renewable Fuels Limited (ARfuels) for all of the ordinary shares in Wentworth Holdings Limited.

ARfuels gives notice under section 650D of the Corporations Act 2001 (Cth) that it varies the Offer by extending the Offer Period (as described in the Bidder's Statement) so as to change the close of the Offer Period from 7.00pm on 1 February 2013 to 7.00pm on 15 February 2013 .

The Offer is varied by replacing all references to "1 February 2013" with "15 February 2013" in the Bidder's Statement.

Unless the context requires otherwise, defined terms in this notice have the same meaning as in the Bidder's Statement.

Notice of new date for giving notice on status of Conditions under section 630(2) of the Corporations Act

To: Wentworth Holdings Limited (ABN 41 080 167 264)

And to: ASX Limited

This notice is given by Australian Renewable Fuels Limited (ARfuels) in relation to the offer dated 21 December 2012 (Offer) made in the Bidder's Statement (Bidder's Statement) by ARfuels for all of the ordinary shares in Wentworth Holdings Limited.

The date for giving a notice on the status of the Conditions set out in clause 11.12 of the Bidder's Statement has been postponed by operation of section 630(2) of the Corporations Act 2001 (Cth). The new date for giving a notice on the status of those Conditions is 7 February 2013.

As at the date of this notice:

• (a) ARfuels has not freed the Offer from any of the Conditions set out in clause 11.8 of the Bidder's Statement;

• (b) so far as ARfuels is aware, none of the Conditions have been fulfilled.

Unless the context requires otherwise, defined terms in this notice have the same meaning as in the Bidder's Statement.
