RE: SHARE PLACEMENT

The Directors of Australian Renewable Fuels Limited ("ARF") (ASX Code: ARW) are pleased to announce the successful completion of the share placement transaction referred to in the company's previous Market release dated 6 April 2006.

The Company has received acceptance for the placement of 16.2 million Ordinary Shares at an issue price of \$1.65 per share. Shaw Stockbroking Ltd managed the placement on behalf of ARF to Professional and Sophisticated institutional investors, pursuant to Section 708 of the Corporations Act. All placees are existing shareholders of ARF. The funds raised will be utilised to facilitate the Company's growth, provide working capital and pay the costs associated with the issue.
