RE: Notice of Change of Auditor

In accordance with section 4.11 of National Instrument 51 – 102 – Continuous Disclosure Obligations (“ NI 51-102 ”), Thor Explorations Ltd. (the “ Company ”) reports that:

Predecessor Auditor

1. On May 21, 2024, the Predecessor Auditor gave notice to the Company of its decision to resign and that it would cease any further performance under its engagement letter with the Company dated October 25, 2017 (as revised on December 1, 2023) and would consider that engagement letter to have been terminated.

2. The Audit Committee (the “ Audit Committee ”) of the Board of Directors (the “ Board ”) of the Company considered and accepted the decision of the Predecessor Auditor to resign.

3. There have been no “modified opinions” as defined by NI 51-102 expressed in any of the audit reports of the Predecessor Auditor on any of the Company’s financial statements for the two most recently completed fiscal years or any subsequent periods.

4. The Board is of the opinion that there were no “reportable events” as defined by NI 51102, which occurred in connection with the audit of the two most recently completed fiscal years or for any period subsequent to the most recently completed fiscal period for which an Auditors’ Report was issued.

Successor Auditor

1. The Board has appointed the Successor Auditor effective as of August 9, 2024.
