Pursuant to requirements of Regulation 30(9) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), we wish to intimate that, Sterling Holiday Resorts Limited (Wholly Owned Material Subsidiary of Thomas Cook (India) Limited) has informed us that, at their meeting of Board of Directors held on March 20, 2026 i.e. today, they have inter alia approved a Composite Scheme of Arrangement between:

1. Thomas Cook (India) Limited (“Demerged company” or “Transferee company”) and

2. Sterling Holiday Resorts Limited (“Resulting company”) and

3. TC Visa Services (India) Limited (“Transferor company 1”) and

4. Jardin Travel Solutions Limited (“Transferor company 2”) and

5. Borderless Travel Services Limited (“Transferor company 3”) and

6. Their respective shareholders
