PIRC RECOMMENDS SHAREHOLDERS VOTE AGAINST PROPOSED ALL-SHARE COMBINATION BETWEEN THIRD POINT INVESTORS LIMITED ("TPIL") AND MALIBU LIFE REINSURANCE ("PROPOSED TRANSACTION")
FOLLOWS RECENT ISS RECOMMENDATION TO VOTE AGAINST ALL RESOLUTIONS

The Group notes the publication of a voting recommendation from the independent governance and shareholder advisory body, PIRC, in relation to TPIL's forthcoming EGM scheduled for 10:00am on 14 August 2025.
PIRC has recommended that TPIL shareholders vote AGAINST all resolutions.
PIRC's guidance is in line with the guidance issued by ISS, which also recommends voting against all resolutions, as well as the recommendation of the Group.
The Group has already written to VoteCo's directors to draw their attention to PIRC's analysis.
