Purchase of Shares for the Employee Benefit Trust

The Company has been notified by the Trustee of the TheWorks.co.uk Employee Benefit Trust (the "EBT") that on 2 October 2024 the EBT purchased a total of 1,184,549 ordinary shares of 1 penny each in the Company (the "Shares") at a price of 25.2 pence per share.

The Shares will be held in the EBT, which is a discretionary trust for the benefit of the Group's employees. The Shares will be used to satisfy the vesting and exercise of awards over shares under the Company's executive and employee share plans, including to Executive Directors and Persons Discharging Managerial Responsibility ("PDMRs") of the Company.

Following this purchase, which was recommended by the Board as indicated in the Company's preliminary results announcement on 1 October 2024, the EBT holds a total of 2,287,350 ordinary shares, 3.66% of the Company's issued share capital. The Board does not currently intend to recommend to the EBT to make any further market purchases of shares.
