Appointment of a Lead Director

At the Thermador Groupe Board of Directors meeting of 12 December 2023, it was unanimously decided to appoint Laurence Paganini as Lead Director.

From the beginning of 2024, she will have the following specific missions and special powers:

• Prevent and help to manage potential conflicts of interest within the Board of Directors.
• Steer the Board evaluation process.
• Organise, chair and moderate meetings of non-executive directors.
• Contribute to communications with institutional shareholders and voting recommendation agencies on request, exclusively on governance and earnings policy matters.
• If appropriate, propose additional items for Board meeting agendas.
• Request that the Board of Directors be convened on a specific agenda, the importance or urgency of which would justify an extraordinary meeting. The Chairman of the Board of Directors is bound by such requests.

This decision gave rise to an update of the Board of Directors' Rules of procedure, which you will find on our website. Article 5 of the Rules clearly states that the role of lead director may only be entrusted to an independent director.
