Sub: Allotment of shares to the eligible employees of the Company pursuant to the options granted under the Thejo Employees Stock Option Scheme, 2015 ("ESOP 2015")
This is to inform you that the Allotment Committee ("the Committee") of the Board of the Company has approved the allotment of 580 equity shares of face value Rs.10/each to the eligible employees of the Company upon exercise of stock options granted under Thejo Employees Stock Option Scheme, 2015, by way of Circular Resolution passed on 18[th] December, 2025 at 15:00 hrs.
Upon the allotment, the paid-up equity share capital of the Company stands increased from Rs. 10,84,65,790/- divided into 1,08,46,579 equity shares of Rs. 10/each to Rs. 10,84,71,590/- divided into 1,08,47,159 equity shares of Rs. 10/- each.
580 Shares were allotted at an exercise price of Rs. 671.75/- each (including Securities Premium of Rs. 661.75/-) per Equity Share of Face Value of Rs. 10/- each. The entire exercise price has been fully paid by all the allottees.
The details as required to be furnished under Securities Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 ("SEBI SBEB Regulations") are enclosed. We request you to kindly take the above information on record.
