Pursuant to Regulation 30 read with Schedule Ill of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to inform you that the Board of Directors of The Phoenix Mills Limited ('Company') have, at their MePting held today i.e. February, 12 2021, taken on record the resignation of Mr. Pradumna Kanodia as Director-Finance and Chief Financial Officer ('Key Managerial Personnel') of the Company.

He will cease to be Director - Finance and Chief Financial Officer ('Key Managerial Personnel') of the Company with effect from the close of business hours of 28[th ] February, 2021.

Mr. Kanodia joined the Company in 2010 as the Chief Financial Officer. He played a pivotal role in establishing the Company's growth trajectory over the past decade both as a key managerial personnel as well as an executive board member.

He played a critical role in enhancing the capital allocation framework, building relationships with key stakeholders across banks and capital markets as well as striking strategic alliances with sovereign funds for the future growth of the Company.

We thank him for his distinguished services and wish him the best for future endeavors.

The Members of the Board have also placed on record their sincere appreciaticn for the invaluable contribution made by Mr. Pradumna Kanodia during his long tenure with the Company.
