Pursuant to the provisions of Section 149 of the Companies Act, 2013 and Regulation 16 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, basis the recommendation of members of Nomination and Remuneration Committee, the Board of Directors vide a Resolution passed on October 11, 2019 have re-appointed Ms. Shweta Vyas (DIN:06996110) as Non-Executive and Independent Director for a second term of five consecutive years commencing from October 14, 2019 up to October 13, 2024, subject to approval of members at general meeting.

Pursuant to the directions dated June 14, 2018 by SEBI to the Stock Exchanges and based on the declaration received from the Director, we hereby affirm that Ms. Shweta Vyas is not debarred from holding the Office of Director by virtue of any order passed by SEBI or any other such authority and therefore, is not disqualified to be re-appointed as an Independent Director.

The details as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Circular CIR/CFD/CMD/4/2015 dated September 9, 2015 are attached as Annexure A to this letter.

					Experience&Profile:Ms. Shweta Vyas joined
					Barclays W&IM in year 2008 and is the Assistant
					Vice President of the W&IM division of Barclays in
					India.
					She also worked with Standard Chartered
					Wholesale Banking where she moved within the
					organisation and worked in numerous functions.
					She is actively involved with the corporate training
					arm called APEX and MSME of the Art of Living
					Foundation.
