Re: Execution of Share Purchase Agreement

Reference is made to our previous notification dated July 21, 2023, pursuant to which we informed you that Gallatin Point Capital LLC and Centerbridge Partners, L.P., the entities indirectly controlling Belenus Lux S.à.r.l. ("Belenus") and Leolin Lux S.à.r.l. ("Leolin"), were finalizing an agreement pursuant to which the controlling shareholder would sell shares in the Company while still retaining at least 30% of the fully diluted shareholding of the business and thus the control stake.

We hereby notify you that on August 14, 2023, Belenus and Leolin signed an agreement and consummated a transaction with an investor from the UAE pursuant to which Belenus sold 4,235,507 ordinary shares of the Company and Leolin sold 837,292 ordinary shares of the Company for an aggregate purchase price of approx. NIS 184 million (reflecting a price per share of approx. NIS 36.27 – based on the same Company valuation as that contemplated under the non-binding term sheet executed in December 2022) following which Belenus is still retaining the controlling stake in the Company, as set forth above. As of the consummation of the transaction, Leolin ceases to be an interested party in the Company.

בהמשך להודעתנו מיום 21 ביולי ,2023 במסגרתה הודענו לכם בין היתר כי .P.L ,Partners Centerbridge Lux -ו") Belenus") Belenus Lux S.a.r.l -ב בעקיפין השולטות הישויות , Gallatin Point Capital LLC-ו .l.r.à.S Leolin"( Leolin)", מנהלות מו"מ להסכם לפיו בעלות השליטה בחברה ימכרו מניות בחברה, תוך שמירה על החזקה של לפחות 30% ממניות החברה בדילול מלא, ובהתאם ישמר גרעין השליטה בחברה, אנו מתכבדים לעדכנכם כי ביום 14 באוגוסט 2023 Belenus ו- Leolin חתמו על הסכם והשלימו עסקה עם חברה הנשלטת על ידי משקיע מאיחוד האמירויות, במסגרתה Belenus מכרה 4,235,507 מניות רגילות של החברה, ו- Leolin מכרה 837,292 מניות של החברה בסך כולל של כ- 184 מיליון ₪ )המשקף מחיר למניה של כ- 36.27 ₪(, מבוסס על שווי חברה שנקבע במזכר ההבנות הבלתי מחייב מחודש דצמבר .2022

עם השלמת העסקה Belenus תמשיך להיות בעלת השליטה בחברה ו- Leolin חדלה להיות בעלת עניין בחברה.
