Further to the Company�s immediate report dated July 15, 2025 (Reference No.: 2025-01-052174) regarding the indirect acquisition by the Company of approximately 17.19% of the issued share capital of The Phoenix Insurance Agency 1989 Ltd., the Company is pleased to report that the principal conditions precedent for the completion of the transaction have been fulfilled, including the receipt of a preliminary tax ruling from the Israel Tax Authority pursuant to Section 104H(b)(1)(e) of the Income Tax Ordinance. The parties will proceed to complete the transaction in the coming days.
