EMIS Group plc ("the Company") notes the following amendment to the "Director Dealing - Exercise of Share Options" announcement released on 29 June 2023 which contained an error in the percentage interest of Peter Southby. Peter Southby's beneficial holding was incorrectly stated as 0.87%, where his total beneficial holding of 55,309 Ordinary Shares represents 0.087% of the Company's issued share capital.
All other details in the announcement are correct and remain unchanged. The full amended text is shown below.
Director Dealing - Exercise of Share Options
EMIS Group plc ("the Company") announces that on 28 June 2023 the Company was notified that Andrew Thorburn, Chief Executive Officer, had exercised an option over 16,822 Ordinary Shares of one pence each ("Ordinary Shares") and Peter Southby, Chief Financial Officer had exercised an option over 5,571 Ordinary Shares of one pence each ("Ordinary Shares"), granted at nil cost under the Company's Long Term Incentive Plan and awarded on 24 June 2019 (which had been the subject of performance conditions).
The Company was also notified that Andrew Thorburn subsequently sold 8,649 Ordinary Shares at a price of £13.44 per Ordinary Share and that Peter Southby subsequently sold 2,628 Ordinary Shares at a price of £13.44 per Ordinary Share to fund tax liabilities associated with the exercise of awards.
On 29 June 2023 the Company granted free shares to eligible employees under its HMRC-approved Share Incentive Plan ("SIP"). Pursuant to this grant, each of Andy Thorburn and Peter Southby received an award of 44 Ordinary Shares, in accordance with and subject to the rules of the SIP.
Following these transactions Andrew Thorburn has a total beneficial holding of 114,480 Ordinary Shares, representing 0.18% of the Company's issued share capital, and Peter Southby has a total beneficial holding of 55,309 Ordinary Shares (of which 6,087 are held by him personally), representing 0.087% of the Company's issued share capital.
