Director Dealing - Exercise of Share Options

EMIS Group plc ("the Company") announces that on 17 May 2017 the Company was notified that Peter Southby, Chief Financial Officer, had exercised an option over 15,136 Ordinary Shares of one pence each ("Ordinary Shares") granted at nil cost under the Company's Long Term Share Incentive Award and awarded on 1 May 2014 (which had been the subject of performance conditions).

The Company was also notified that Peter Southby subsequently sold 7,114 Ordinary Shares at a price of £9.44 per Ordinary Share to fund the tax liabilities associated with the exercise. These Ordinary Shares were acquired by JY Trustees Limited on behalf of the EMIS Group plc Employee Benefit Trust.

In addition, Peter Southby transferred the residual 8,022 Ordinary Shares for each of the above transactions to his spouse, Katherine Southby, for nil consideration.

Following this transaction Peter Southby has a total beneficial holding of 20,204 Ordinary Shares representing 0.03% of the Company's issued share capital.
