Contemplated offer to acquire shares in The Kingfish Company N.V.

On behalf of a non-Norwegian financial investor closely associated with a primary insider in The Kingfish Company N.V. (the “Buyer”), Arctic Securities AS (the “Manager”) is mandated to explore the opportunity to acquire up to 6,096,620 shares, (equal to approximately 9 per cent of the share capital) in The Kingfish Company N.V., but with the possibility for the Buyer at its full discretion to modify the number of shares to be acquired. The Manager has received indications of selling interests through a wall-crossing exercise and the price is set to NOK 26.00 per share (the “Offer”).

The tendering process commences immediately and will close 22 June 2021 at 08:00 CEST. The book building period can be closed earlier or extended at the Manager’s own discretion. Allocation will be made on or about 22 June 2021 and settlement will take place on or about 24 June 2021.

The Buyer reserves the right to terminate the Offer or make any amendments with regard to the volume and other terms of the Offer.
