PRESS RELEASE

THE ITALIAN SEA GROUP S.P.A. SIGNS THE ACT OF MERGER BY INCORPORATION OF SUBSIDIARY NEW SAIL S.R.L.

Marina di Carrara, June 10th 2022 – The Italian Sea Group S.p.A. ("TISG" or the "Company"), global operator in the luxury yachting industry, following the press release published on March 3rd, 2022, announces today's signing of the act of merger by incorporation of the 100% subsidiary New Sail S.r.l. into the Company (the "Merger"), as resolved by TISG's Board of Directors on March 3rd, 2022.

In particular, as previously communicated on February 17th 2022, it is to specify that the operation will be effective, pursuant to art. 2504-bis, comma 2, c.c., from the date of the last entry of the merger act in the Register of Companies; for accounting and income tax purposes, the transaction will have retroactive effect from the first day of the year in which the merger will be effective for civil purposes.
