THE ITALIAN SEA GROUP S.P.A. FIRST MEETING OF THE NEW BOARD OF DIRECTORS GIOVANNI COSTANTINO APPOINTED CHIEF EXECUTIVE OFFICER

Constitution of the Internal Committees:

• Control, Risks, and Sustainability Committee, functioning also as Committee for Operations with Related Parties;
• Appointment and Remuneration Committee.

Marina di Carrara, 3 May 2023 – Today, the Board of Directors of The Italian Sea Group S.p.A. convened for the first time, after being appointed by the Ordinary Shareholders' Meeting on 27 April 2023. The Board of Directors will remain in office until the approval of the Financial Statements at 31 December 2025.

The newly appointed Board of Directors, convened under Chairman Filippo Menchelli, appointed Giovanni Costantino as Chief Executive Officer, conferring the related powers, and Marco Carniani Vice Chairman.

The Board of Directors has established the following committees, appointing the related members:

• Control, Risks, and Sustainability Committee: Antonella Alfonsi (as President), Laura Angela Tadini, and Fulvia Tesio. The Committee will also act as Committee for Operations with Related Parties;
• Appointment and Remuneration Committee: Fulvia Tesio (as President), Antonella Alfonsi, and Laura Angela Tadini.
