PUBLICATION OF ADDITIONAL DOCUMENTS RELATED TO THE ORDINARY SHAREHOLDERS' MEETING ON APRIL 22nd , 2025

Marina di Carrara, March 31st, 2025 – The Italian Sea Group S.p.A. ("TISG" or the "Company"), global operator in luxury yachting, announces that, with reference to the Company's Ordinary Shareholders' Meeting convened in a single call on April 22nd, 2024, in compliance with the current law, it made available to the public today, at the Company's registered office in Marina di Carrara, Carrara (MS), Viale C. Colombo 4-bis, on the Company's website https://investor.theitalianseagroup.com/en/, in the sections "Financial Documents/Financial Reports" and "Corporate Governance/AGM", as well as the authorised storage mechanism eMarket Storage /it the following documents:

  • The Annual Financial Reports, including the draft financial statements at December 31st, 2024, the consolidated financial statements at December 31st, 2024, the management report, the report on corporate governance and ownership structures, as well as the statement pursuant to article 154-bis, paragraph (5) of the Italian Legislative Decree 24 February 1998, no. 58 ("TUF"), accompanied by the Reports by the Auditing Firm and the Board of Statutory Auditors;
  • The Consolidated Sustainability Statement related to 2024, pursuant to Legislative Decree 125/2024, accompanied by the independent auditor's report on the limited review of consolidated sustainability statement;
  • The Second Section of the Report on Remuneration Policy and Compensation paid, pursuant to art. 123-ter of TUF, as subsequently amended.
