THE ITALIAN SEA GROUP S.P.A.: PUBLICATION OF ADDITIONAL DOCUMENTS RELATED TO THE ORDINARY AND EXTRAORDINARY SHAREHOLDERS' MEETING ON 1 JULY 2024

Marina di Carrara, Carrara, June 10th , 2024 – The Italian Sea Group S.p.A. ("TISG" or the "Company"), global operator in luxury yachting, announces that, with reference to the Company's Ordinary and Extraordinary Shareholders' Meeting convened in a single call on 1 July 2024, in compliance with the applicable law, today, it made available to the public, at the Company's registered office in Marina di Carrara, Carrara (MS), Viale C. Colombo 4-bis, on its website https://investor.theitalianseagroup.com/en/, "Corporate Governance/Annual General Meeting" section, and through the authorised storage mechanism eMarket Storage /, the following documents:

• the Report on Remuneration Policy and Compensation paid, first section, pursuant to Article 123-ter of Italian Legislative Decree no. 58 of 24 February 1998 ("Italian Consolidated Law on Finance"), as subsequently amended;
• the fairness opinion on the price of the new shares to be issued with the capital increase by the Auditing Firm BDO Italia S.p.A., pursuant to Article 158 of the Italian Consolidated Law on Finance.
