THE ITALIAN SEA GROUP: FILING OF THE MINUTES OF THE SHAREHOLDERS' MEETING HELD ON APRIL 27th, 2023

VERIFICATION OF REQUIREMENTS FOR MEMBERS OF THE BOARD OF AUDITORS

Marina di Carrara, May 26th, 2023 - The Italian Sea Group S.p.A. ("TISG" or "the Company") hereby announces that the minutes of the Ordinary Shareholders' Meeting held on April 27th, 2023, in compliance with current regulations, were today made available to the public at the registered office, on the Company's website (www.investor.theitalianseagroup.com "Corporate Governance/Annual General Meeting" Section), and on the authorized eMarketStorage mechanism ().

Notice of the filing was published today in the newspaper MF.

It should also be noted that the Board of Directors, which met today, verified that the members of the Board of Statutory Auditors meet the requirements of honorableness, professionalism, and independence pursuant to Article 148, paragraph 3, of Legislative Decree No. 58/1998 and the Corporate Governance Code, in accordance with applicable laws and regulations.
