(A) Extra Ordinary General Meeting (EGM) :

Notice is hereby given that an Extra Ordinary General Meeting (EGM) of the members of the Company will be held on Wednesday, May 12, 2021 at 04.00 p.m. at the registered office of the Company at Plot No. 24,25 & 26, Sector-7, IMT Manesar, Gurugram122050, Haryana along with the facility to attend the EGM through Video Conferencing (”VC”) / Other Audio Visual means (”OAVM”) to transact the business as set out in the Notice dated April 12, 2021.

The facility for voting through ballot paper shall be made available at the EGM and the Members attending the meeting who have not cast their vote by remote e-voting shall be able to exercise their right at the meeting through ballot paper. Once the vote on a resolution is cast by the Member, the Member shall not be allowed to change it subsequently. Members can opt for only one mode of voting, i.e., either by Ballot Form or remote e-voting or through E-Voting (where the members attending the meeting though VC or OAVM). In case Members cast their votes through any of the mode, voting done by remote e-voting shall prevail and votes cast through Ballot Form or e-voting shall be treated as invalid.

The Notice of EGM, Proxy Forms and Attendance Slips have been sent in electronic form to those members whose e-mail addresses are registered with the Company’s Registrar and Share Transfer Agent (‘RTA’)/ Depository Participant. The Company has completed the dispatch of Notice of the EGM through electronic mode.

(B) Remote E-voting: Members of the Company be and are hereby informed that pursuant to Section 108 of the Act read with Rule 20 of Companies (Management and Administration Rules), 2014 and Regulation 44 of the SEBI (LODR) Regulations, 2015 , the Company has offered Remote e-voting facility for its members to cast their vote electronically on all the resolutions set forth in the Notice from a place other than venue of EGM through the platform of National Securities Depository Limited (NSDL). The details pursuant to the provisions of the Act and the said Rules are given hereunder:

(a) Date and time of Commencement of remote e-voting: Sunday, May 09, 2021 at 09.00 a.m.(IST)
(b) Date and time of end of remote e-voting: Tuesday, May 11, 2021 at 05.00 p.m.(IST). The e-voting module shall also be disabled for voting thereafter.
(c) Cut-off date: Wednesday, May 05, 2021.
(d) Notice of EGM inter alia containing the procedures of E-voting, Proxy Form and Attendance Slips, is available on the website of the Company at www.thehitechgears.com
(e) Members who have acquired shares after the dispatch of the Notice of EGM and before the cut-off date may approach the RTAor Company for issuance of the User ID and Password for exercising their right to vote by electronic means.
(f) At the EGM, facility for voting through ballot paper shall be made available and only the members as on the “cut–off date” i.e. May 05, 2021 who have not cast their vote by remote e-voting shall be entitled to exercise their right to vote at the EGM through ballot paper.
(g) A member may participate in the EGM even after exercising his right to vote through remote e-voting but shall not be allowed to vote again in the EGM.
(h) A Person whose name is recorded in the Register of Members or in the Register of Beneficial owners maintained by Depositories as on the cut-off date only shall be entitled to avail facility of remote e-voting or voting in the EGM.

(C) E-Voting at the EGM

The facility for e-voting at EGM shall also be made available on the day of EGM i.e. on May 12, 2021. Members may access the same at https://www.evoting.nsdl.com under shareholders/members login by using the remote e-voting credentials. The members who have not cast their votes through remote e-voting can cast their vote at EGM. A member may participate in the EGM even after exercising his right to vote through remote e-voting but shall not be allowed to vote again at the EGM.

The Company has appointed Mr. Nirbhay Kumar, Practicing Company Secretary (Membership No. A-21093) as Scrutinizer to scrutinize the e-voting process in a fair and transparent manner. For grievances/ queries relating to e-voting members may refer FAQs and user manual for shareholders to cast their votes in Help section at www.evoting.nsdl.com
