Notice of Annual General Meeting

Notice is hereby given that the sixty fifth Annual General Meeting of the members of the company will be held at Mediterranean Beach Hotel in Limassol, on Friday 1st July 2016 at 10:30 a.m. to transact the following business:

• 1. To receive and consider the Directors' and Auditors' Reports and to approve the Consolidated Financial Statements for the year ended 31 December 2015.
• 1. To elect members of the Board of Directors.
• 1. To fix the remuneration of the members of the Board of Directors for the year 2016.
• 1. To re-appoint the Auditors and authorise the Board of Directors to fix the Auditors' remuneration for the year 2016.
• 1. Transact any other business which, in accordance with the Company's Articles of Association, can be presented at the Annual General Meeting.

NOTES TO THE NOTICE OF THE ANNUAL GENERAL MEETING

• 1. Any member entitled to attend and vote at the above General Meeting is entitled to appoint a proxy to attend and vote in his stead and such proxy need not be a member of the company. The instrument appointing a proxy must be deposited at the company's Office, 197 Makarios III Avenue, Gala Tower, 3030 Limassol, (P.O.Box 50019, 3600 Limassol) not less than 48 hours before the time fixed for holding the Meeting.
• 1. The notice to the Annual General Meeting and the Form of Proxy shall be made available in electronic form on the website of the Group at www.galatariotisgroup.com (Investor Relations/Announcements) and in hard copy at the Company's office, 197 Makarios III Avenue, Gala Tower, 3030 Limassol.
• 1. The Group Consolidated Financial Statements, Directors' Report and Auditor's Report for year 2015 are available on the website of the Group at www.galatariotis group.com (Investor Relations/ Announcements).
