Proposed Share Placing by Directors

The Company announces that Charles Stanley Securities is proposing to undertake a placing of 1,500,000 issued ordinary shares of 5 pence each in the capital of Character Group (the "Placing Shares") on behalf of Mr. Richard King, the Company's Chairman, and certain of his associated interests.

The Placing Shares represent approximately 6.51% of the Company's issued share capital (excluding shares held in treasury).  Following the proposed Placing Mr. King will retain a holding of 2,371,543 ordinary shares representing approximately 10.30 per cent of the Company's issued share capital (excluding shares held in treasury).
