THALES ESPAÑA AND AMPER COMPLETE THE PROCESS FOR THE SALE AND PURCHASE OF AMPER PROGRAMAS
*** The transaction enables the safeguarding of the future of the company and the consolidation of the globalisation of technological solutions in the Spanish defence sector.
Madrid, 14th October 2014. The Council of Ministers confirmed on Friday October 3rd the authorization for Thales España which is necessary for being a defence sector company to acquire the remaining 51% shareholding of Amper Programas Electrónica y Comunicaciones S.A, which were held by the Amper Group. This acquisition has been finalized today.
The CNMV (Spanish Share Market Commission) was informed of the transaction on 31 July, when the shareholding purchase agreement was recorded in a public document. With this transaction, Thales España, which has owned the other 49% for the past 20 years, strengthens the company's position in the Spanish defence field.
The agreement allows for the creation of a leading Spanish company in Command and Control Systems and CIS Tactical Communications (Communications and Information System) for defence with great potential for exportation thanks to Thales' powerful international trade network. With this incorporation, Spain will be in an excellent position in the Command and Control and Military Communications and Avionics systems market, key to the armed forces.

Thales's intention is to increase defence activity in Spain through responsible levels of commitment, and by undertaking aeronautic and radio-communications activities that will enable the exportation of advanced Spanish solutions, the production of which will be carried out with Amper Programas.
The acquisition will also enable the creation, in Spain, of a centre of expertise for the research and development of CIS (Communications and Information System) solutions and avionics.
In short, the acquisition of Amper Programas will enable Spain to strengthen its portfolio of technical solutions for Command and Control projects and to maintain its ability to provide, from Spain, advanced solutions in areas of strategic interest such as the Middle East, North Africa or Latin America.
Furthermore, the operation carried out by Amper, the entire sum of which will go to pay off its bank debts, is framed within the Group's 2013-16 Strategic Plan and, specifically, its Plan for the Optimisation of its capital assets structure.
With this divestment, the Amper Group reaffirms its commitment to rationalising its lines of activity and safeguards the core business in the areas of communications and security.
