Subject: Intimation of retirement of Mr. Vinod Kumar Beswal (DIN: 00120095) and Mr. Basant Kumar Khaitan (DIN: 00117129) as Non-Executive Independent Directors of the Company with effect from 31[st] March, 2024.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 we inform you that, in terms of provisions of Section 149 of the Companies Act, 2013 and rules made thereunder, Mr. Vinod Kumar Beswal (DIN: 00120095) and Mr. Basant Kumar Khaitan (DIN: 00117129) Non-Executive Independent Directors of the Company will retire with effect from close of business hours on 31[st] March, 2024.

Mr. Beswal’s and Mr. Khaitan’s re-appointment for the second term was made by the Shareholders of the Company at their meeting held on 25[th] July, 2019, for a period w.e.f. 29[th] September, 2019 up to 31[st] March, 2024. Accordingly, they will retire as NonExecutive Independent Directors of the Company with effect from close of business hours on 31[st] March, 2024.

Further the additional information as required under SEBI Circular No. CIR/CFD/CMD/4/2015 dated 09[th] September, 2015 read with Regulation 30 - Para A of Part A of schedule III of the Listing Regulations, as amended from time to time with respect to retirement of Mr. Vinod Kumar Beswal and Mr. Basant Kumar Khaitan, is provided in the prescribed format as per Annexure–A.
