Dear Sir/Ma’am,

Pursuant to Regulation 30 read with Para A of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations,2015 as amended from time to time, we wish to inform you that Board of Directors of the Company vide circular resolution appointed Mr. Raju R. Adhia as Chief Financial Officer (CFO) of the Company with effect from 25.04.2020.

Please note, pursuant to the provision of the Section 179 of the Companies Act, 2013 read with Rule 8 of the Meetings of Board and its Power Rules, 2014 appointment of Key Managerial personnel (KMP) shall be appointed by means of resolutions passed at meetings of the Board of Directors, but due to the COVID -19 virus pandemic has hit populations around the world and has resulted in many restrictions, including free movement of people, thereby hampering businesses and day to day functioning of companies. Therefore, the Management has decided to pass resolution by circular and It will be ratified at a subsequent meeting of the Board Meeting.

Brief Profile of Mr. Raju R. Adhia and the details required under Regulation 30 of Listing Regulations read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated 09[th] September, 2015 is given in Annexure.
