As of 13 August 2014, Franklin Templeton Investment

Funds (FTIF), which are managed by Franklin

Investment Management Limited (FTIML), which is an

indirect wholly-owned subsidiary of Franklin

Resources Inc., has crossed above the 5% threshold to

5% of the issued shares and votes of TGS-NOPEC

Geophysical Company ASA, which totals to 5,154,073

shares. For purposes of the Notification, an

outstanding share figure of 103,184,288 shares was

used to calculate the percentage.

The Franklin Templeton Investment Funds, managed by

FTIML, do not hold any rights to shares in TGS-NOPEC
