As of 16 October 2014, Franklin Templeton Investment

Funds (FTIF's), which are managed by Franklin

Templeton Investment Management Limited (FTIML),

which is an indirect wholly-owned subsidiary of

Franklin Resources, Inc, has crossed the 5% threshold

to 4.79% of the issued shares and votes of TGS-NOPEC

Geophycial Company ASA, which totals to 4,943,155

shares. For purposes of this Notificaton, an

outstanding sahre figure of 103,184,288 shares was

used to calculate the percentage.
