Notice of 2021 Annual General Meeting

Dear Shareholders:

The 2021 Annual General Meeting (the "Meeting") of Taiwan Fire & Marine Insurance Co., Ltd. (the "Company") will be convened at 9:00 am, Friday,

June 18, 2021 at Happiness Ballroom, Sheraton Grand Taipei Hotel (B2,

No.12, Sec.1, Zhongxiao East Road, Taipei, Taiwan. R. O. C.).

I. The Agenda for the Meeting is as follows:

1. Company Reports

• (1) The 2020 Business Report

• (2) The Audit Committee's 2020 Audit Report

• (3) The 2020 Distribution of Employees' Bonus and Directors' Remuneration

  • (4) The 2020 Earnings Distribution of Cash Dividends

  • (5) Amendment to the Company's Code of Ethical Conduct

2. Proposals

• (1) Adoption of the 2020 Business Report and Financial Statements

• (2) Adoption of the Company's 2020 Earnings Distribution Proposal

3. Discussions

• (1) Amendment of the Company's Corporate Charter

• (2) Amendment to the Company's Procedural Rules of General Meetings

4. Extempore Motions

• II. The amount of earnings for the year 2020 available for distribution to shareholders as dividend is NT$398,421,000. Such amount is proposed to be distributed in the form of cash dividend. Each shareholder will be entitled to receive a cash dividend of NT$1.1 per share.
