Sub: Intimation of Sanction of Scheme of Arrangement by Hon’ble National Company Law Tribunal, Kolkata Bench

• REF: Scheme of Amalgamation of Texmaco West Rail Limited with Texmaco Rail & Engineering Limited and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations. 2015 (“ SEBI Listing Regulations ”) and further to our intimation dated 31[st] January, 2025, we are pleased to inform you that the Hon'ble National Company Law Tribunal, Kolkata Bench (“ Tribunal ”) vide its order dated 4[th] August 2025 has sanctioned the Scheme of Amalgamation of Texmaco West Rail Limited (“Transferor Company”) with the Company and their respective shareholders, under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“ Scheme ”).

Upon receipt of the certified copy of the order, further steps to give effect to the Scheme shall be undertaken.
