Sub: Intimation of Sanction of Scheme of Arrangement by Hon’ble National Company Law Tribunal, Kolkata Bench

REF:Scheme of Amalgamation of Texmaco West Rail Limited with Texmaco Rail & Engineering Limited and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013

This has reference to our intimation dated 9[th] September, 2025, and other communications in relation to the Scheme.

We had informed the stock exchange(s) about the receipt of the certified copy of the order dated 4[th] August, 2025, passed by Hon’ble National Company Law Tribunal, Kolkata Bench (“ Tribunal ”) sanctioning the Scheme of Amalgamation of Texmaco West Rail Limited (“ Transferor Company ”) with the Company and their respective shareholders, under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“ Scheme ”).

Please note that Texmaco West Rail Limited and Texmaco Rail & Engineering Limited have filed the certified copy of the order of the Hon’ble Tribunal sanctioning the Scheme vide Form INC-28 with the Registrar of Companies on 9[th] September, 2025 and 11[th] September, 2025 respectively.

In view of the above, the Scheme has become Effective today, i.e. on 11[th] September, 2025. Accordingly, Texmaco West Rail Limited stands amalgamated with Texmaco Rail & Engineering Limited with effect from 11[th] September, 2025.
