We write to inform you that the Board of Directors of the Company, through Resolution by circulation has taken note of letter dated 24th September, 2021 received from M/s. Adventz Finance Private Limited, a promoter group entity stating that in view of the new Delisting Regulations i.e. the Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2021 effective $10^{th}$ June, 2021 and changed circumstances & environment, the promoters have decided to not to go ahead with the delisting proposal. A copy of such letter is enclosed as Annexure to this intimation.

Proposal to voluntarily delist the equity shares of Texmaco Infrastructure & Holdings Sub: Limited ("Company") in accordance with the provisions of Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2009 ("Delisting Regulations")
In terms of our proposal for voluntarily delist the shares of the Company, we wish to inform you that SEBI has revised the Delisting Regulation effective from June 10, 2021. We have reviewed the requirement under the new regulations and in view of the changed circumstances and changed environment, the Promoters are not going ahead with such delisting proposal at the present.
Kindly take the above on record and disseminate the same.
