APPLICATION TO LIST SHARES

Application has been made for the listing of 4,000,000 Ordinary Shares of 5 pence each to the Official List of the UK Listing Authority and to trade on the London Stock Exchange's main market for listed securities.

Application has also been made for the admission of these shares to the Official List and to trade on the Main Securities Market of the Irish Stock Exchange.

Of these shares, 2,000,000 shares are being issued and allotted pursuant to the Tesco PLC Performance Share Plan 2011 and 2,000,000 shares are being issued and allotted pursuant to the Tesco PLC Group Bonus Plan.

The shares will rank equally with the existing issued Ordinary Shares of Tesco PLC.

Admission is expected to be effective on 14 October 2015.
