APPLICATION TO LIST SHARES

Application has been made for the listing of 13,500,000 Ordinary Shares of 5 pence each to the Official List of the UK Listing Authority and to trade on the London Stock Exchange's main market for listed securities.

These shares will be issued and allotted pursuant to the Tesco PLC Share Incentive Plan.

Application has also been made for the admission of the above shares to the Official List and to trade on the Main Securities Market of the Irish Stock Exchange.

The shares will rank equally with the existing issued Ordinary Shares of Tesco PLC.

Admission is expected to be effective on 20 May 2015.
