On 14 May 2014, the persons listed below were granted nil-cost options over Tesco PLC Ordinary Shares under the Plan, the number of shares being calculated using a market price of 293.52 pence per share in accordance with the rules of the Plan.

The number of shares subject to option in each case will be increased to reflect the dividends that would have accrued on vested shares had they been reinvested in shares in the period between grant and exercise. 50% of the shares subject to the option will vest and become exercisable on 19 June 2014 and the remainder will vest and become exercisable on 19 June 2017.
