DIRECTOR/PDMR SHAREHOLDING

On 23 July 2013, the persons listed below were granted nil-cost options over Tesco PLC Ordinary Shares under the Plan, the number of shares being calculated using a market price of 364.84 pence per share in accordance with the rules of the Plan.

The number of shares subject to option in each case will be increased to reflect the dividends that would have accrued on vested shares had they been reinvested in shares in the period between grant and exercise. These nil-cost options will become exercisable on 25 July 2016, subject to the achievement of performance conditions over three financial years. Details of the performance conditions can be found in the Tesco PLC Annual Report and Financial Statements 2013.
