UPDATE TO APPLICATION TO LIST SHARES

Tesco PLC confirms that, further to its announcement of 2 March 2018, the application which was made to the UK Listing Authority and the London Stock Exchange was for the issue of 1,547,854,846 ordinary shares of 5 pence each in connection with the proposed merger of Tesco PLC and Booker Group plc.

These shares are to be admitted to the Official List of the UK Listing Authority and to be traded on the main market of the London Stock Exchange. Application has also been made for the admission of these shares to the Official List and to trade on the Main Securities Market of the Irish Stock Exchange.

The shares shall rank equally with the existing issued ordinary shares of Tesco PLC.

Admission is expected to be effective on 5 March 2018.
