Grant of Awards under the Tesco PLC Long-Term Incentive Plan 2021 (the "LTIP")
On 3 July 2023, the Executive Directors and members of the Company's Executive Committee listed below were granted awards over Ordinary Shares of 6 1/3 pence each in the Company under the LTIP.

The above awards have been made in the form of conditional shares which will vest on 3 July 2026 subject to the achievement of the Earnings Per Share, Free Cash Flow and ESG performance targets over the performance period, as outlined in the Directors' Remuneration Report of the Tesco PLC Annual Report and Financial Statements 2023.
For the awards to Ken Murphy and Imran Nawaz, the vested shares will be subject to a post-vesting holding period of two years from the vesting date.
Except for the award to Gerry Mallon, the numbers of shares have been calculated using a market price of 251.10 pence per share. For any dividends paid in the period between the grant and release of conditional shares, the number of shares in each case will be increased to reflect the dividends that would have accrued had they been reinvested in shares.
For CRDV banking regulatory purposes, the number of shares awarded to Gerry Mallon will not be increased to reflect any dividends paid to shareholders in the period between the grant and release of conditional shares. However, a discount has been applied to the market price of 251.10 pence per share when calculating the number of shares under Gerry's award to reflect the absence of dividend equivalents during the vesting period.
On 3 July 2023, Ashwin Prasad, Chief Product Officer, was granted a conditional award over 248,904 Ordinary Shares of 6 1/3 pence each in the Company. The number of shares awarded has been calculated using a market price of 251.10 pence per share and will vest on 31 October 2025 subject to the achievement of personal performance conditions over the vesting period and continuous employment.
Release of shares from the Tesco PLC Performance Share Plan 2011 (PSP)
On 3 July 2023, the members of the Company's Executive Committee listed below received the following Ordinary shares of 6 1/3 pence each in the Company upon their release from share awards granted on 3 July 2020 under the rules of the PSP:

The numbers of shares released represent the gross number of shares including dividend equivalent shares which have accrued between grant and release. As shown above, shares have been withheld to cover Income Tax and National Insurance Contributions due on release. The net shares have been transferred to the PDMRs and are subject to a post-vesting holding period until 3 July 2025.
On 3 July 2023, Gerry Mallon, a member of the Company's Executive Committee, received 17,484 Ordinary shares of 6 1/3 pence each in the Company upon their release from a share award granted under the rules of the Tesco PLC Performance Share Plan 2011 on 13 August 2018.
This represents the gross number of shares released including dividend equivalent shares which have accrued between grant and vesting. Of those shares released, 8,568 shares have been withheld to cover Income Tax and National Insurance Contributions due on release. The net shares have been transferred to Gerry and are subject to a post-vesting holding period of six months.
The share price on release was 252.00 pence per share.
Release of shares granted under Listing Rule 9.4.2
On 3 July 2023, Imran Nawaz, an Executive Director, received 160,710 Ordinary shares of 6 1/3 pence each in the Company upon their release from Tranche 5 of his buyout award granted under a Listing Rule 9.4.2 arrangement on 4 May 2021 (see announcement made on 6 May 2021).
This represents the gross number of shares released. Of those shares released, 75,534 shares have been withheld to cover Income Tax and National Insurance Contributions due on release. The net shares have been transferred to Imran and are subject to a post-vesting holding period until 31 March 2024.
The number of shares released has been determined by the vesting level of the Tate and Lyle PLC 2020 Performance Share Plan award.
The share price on release was 252.00 pence per share.
