Grant of Awards under the Tesco PLC Deferred Bonus Plan 2019
On 12 May 2020, the members of the Company's Executive Committee listed below were granted awards over Ordinary Shares of 5 pence each in the Company under the Tesco PLC Deferred Bonus Plan 2019, the number of shares being calculated using a market price of 235.58 pence per share.

The above awards have been made in the form of conditional shares which will vest and be released on 12 May 2023. subject to continuous employment with the exception of the award made to Dave Lewis. The Company's Remuneration Committee has approved good leaver status for Dave Lewis. Accordingly, his award will vest and be released on 12 May 2023
For any dividends paid in the period between the grant and release of conditional shares, the number of shares in each case will be increased to reflect the dividends that would have accrued had they been reinvested in shares.
The awards have been granted in respect of the annual deferred bonus for the 2019/20 Financial Year.
The shares awarded contribute towards the shareholding guidelines for Executive Directors and Executive Committee members which are set out in the Directors' Remuneration Report of the Tesco PLC Annual Report and Financial Statements 2020 ("Directors' Remuneration Report").
Release of shares and exercise of nil-cost options from the Tesco PLC Group Bonus Plan (the "GBP"), the Tesco PLC Performance Share Plan 2011 (the "PSP") and the Tesco PLC Long Term Incentive Plan 2015 (the "LTIP")

2. The shares exercised were granted on 11 May 2017 with the exception of GBP shares exercised by Adrian Morris which were granted on 12 May 2016.
3. The shares exercised were granted on 24 July 2015.
The number of shares released/exercised represent the gross number of shares including dividend equivalent shares which have accrued between grant and release/exercise. As shown above, shares have been withheld to cover Income Tax and National Insurance Contributions due on release/exercise and the net shares have been transferred to the PDMRs.
The share price on release/exercise was 238.10 pence per share.
