DIRECTOR SHAREHOLDING

Tesco PLC (the "Company") has been notified that the following Director of the Company acquired Ordinary shares of 5 pence each in the Company as set out below:

The above dealing was made in accordance with an irrevocable dealing instruction given by Charles Wilson to his broker, prior to the merger between the Company and Booker Group plc becoming effective on 5 March 2018, to purchase Tesco PLC shares in the market in an aggregate amount equal to the cash proceeds paid to him under the Mix and Match Facility as a Booker Scheme Shareholder, after deducting an amount to cover applicable taxes.  As previously disclosed, Charles Wilson intends to hold the above Tesco PLC shares for five years from 5 March 2018 on, and subject to, the terms set out in a Lock-up Agreement, subject to certain customary carve-outs.

The Notification of Dealing Form in respect of the above Director can be found below.  This announcement is made in accordance with Article 19 of the EU Market Abuse Regulation 596/2014.
