PDMR SHAREHOLDING

On 6 November 2015, Matt Davies exercised a nil-cost option over 408,268 Ordinary shares of 5p each in Tesco PLC from an award granted under the rules of the Tesco PLC Long Term Incentive Plan 2015 on 6 July 2015.

This represents the gross number of shares exercised.  A proportion of the shares exercised have been retained to cover Income Tax and National Insurance Contributions due on exercise and the net shares have been transferred to Mr Davies.

The share price on exercise was 182.90 pence per share.

This announcement is made in accordance with the requirements of DTR 3.1.4.
